The Pennsylvania Department of State is now requiring Annual Reports for nearly all registered businesses, beginning in 2025. This replaces the older decennial report system.
Who Must File?
Association Type and Filing deadlines
- Corporations (business and nonprofit)/domestic and foreign
- June 30
- Limited liability companies/domestic and foreign
- September 30
- Limited partnerships, limited liability partnerships, business trusts, professional associations/domestic and foreign
- December 31
What’s Included in the Report?
- Business name
- Jurisdiction of formation
- Registered office address
- Principal office address
- Name of at least one governor (director, member, partner, etc., depending on type of association)
- Names and titles of the principal officers, if any
- Entity number issued by the Pennsylvania Department of State
How to File:
You can file online through the Pennsylvania Department of State’s Business Filing System: https://file.dos.pa.gov
Annual Reports submitted online will be automatically approved
Important Notes:
- There is a $7 filing fee, except for nonprofits which are exempt from the fee.
- This is a yearly requirement — not a one-time filing.
- Missing the deadline may result in administrative dissolution or loss of registration, which can prevent your business from legally operating in Pennsylvania.
Why This Matters for Farm and Ag Businesses:
Even if you’re not a large operation, if your farm is registered as an LLC or corporation, this applies to you. It’s a quick filing but critical to keep your registration active.
